AI Services Terms and Conditions

These AI Services Terms and Conditions (these “AI Terms”) supplement and form part of the agreement governing Customer’s access to and use of the Sumo Logic products and services (the “SaaS Services”), whether entered into by written agreement, online terms of service, order form, or other applicable ordering document between Customer and Sumo Logic, Inc. (“Sumo Logic”) (the “Agreement”). Capitalized terms used but not defined in these AI Terms shall have the meanings given to them in the Agreement. In the event of any conflict between these AI Terms and the Agreement, these AI Terms shall prevail to the extent of the conflict with respect to the subject matter hereof. These AI Terms are effective as of the date specified in the applicable Order Form referencing them (the “AI Terms Effective Date”).

1. DEFINITIONS

1.1 “AI Technologies” means Sumo Logic’s artificial intelligence technologies made available as part of the SaaS Services, comprising AI agents and generative AI capabilities, including the Sumo Logic Dojo AI system and related components such as Mobot, the Query Agent, the Summary Agent, the SOC Analyst Agent, and the Knowledge Agent, as well as other Sumo Logic AI agents or generative AI components made available under the applicable Order Form or otherwise accessed or used by Customer. AI Technologies include prompts, intermediate processing, model instructions, system messages, tool calls, logs, telemetry, internal reasoning, and other intermediate or internal materials used or generated in connection with the operation of such AI agents or generative AI capabilities.

1.2 “MCP Server” means the Sumo Logic Model Context Protocol Server, which is the standardized orchestration and governance layer that connects the AI Technologies to external systems, data sources and Customer’s AI ecosystem, routes requests, runs plugins and tools, enforces security policies, and manages how AI agents and external tools communicate and share context. 

1.3 “Third Party Model” means any large language model or other foundation AI model provided by a third party that underlies or is utilized by the AI Technologies.

1.4 “AI Output” means the final output or recommendations generated by the AI Technologies in response to Customer inputs or queries.

2. CLASSIFICATION AND APPLICABILITY OF THE MAIN CONTRACT

The AI Technologies and the MCP Server are each SaaS Services for the purposes of the Agreement. Accordingly, except as expressly modified by these AI Terms, all terms and conditions of the Agreement applicable to SaaS Services (including without limitation provisions relating to intellectual property, confidentiality, warranties, limitation of liability, and indemnification) shall apply to the AI Technologies and the MCP Server. The specific AI Technologies and MCP Server products shall be set forth in the applicable Order Form and subject to any additional terms, pricing, and usage parameters set forth therein. 

3. THIRD PARTY MODELS

Customer acknowledges that the AI Technologies may rely on one or more Third Party Models to generate AI Output and that the availability and performance of the AI Technologies may depend on such Third Party Models. Sumo Logic does not control the internal operation, training data, or algorithmic behavior of any Third Party Model and, subject to Section 6 (Limitation of Liability), shall not be liable for the accuracy, completeness, quality, or reliability of AI Output generated by or attributable to a Third Party Model, any bias, hallucination, or error attributable to a Third Party Model, or any modification, discontinuation, unavailability, downtime, or performance degradation of a Third Party Model; provided that the foregoing exclusion shall not apply to the extent the relevant deficiency is directly attributable to Sumo Logic’s material modification of the applicable Third Party Model. Any service level commitment applicable to the SaaS Services under the Agreement or an Order Form shall not apply to unavailability or performance degradation of the AI Technologies to the extent caused by a Third Party Model, provided that Sumo Logic will use commercially reasonable efforts to minimize and promptly resolve any such disruption and to ensure that its agreements with Third Party Model providers include confidentiality and data protection obligations materially consistent with Sumo Logic’s obligations under the Agreement.

4. AI OUTPUT — NATURE, USE, AND LIMITATIONS

Customer acknowledges that AI Output is generated by probabilistic systems and may be inaccurate, incomplete, or unsuitable for Customer’s purposes. Customer is solely responsible for reviewing and validating AI Output before relying on it or taking any action based on it, including any investigation, remediation, response, or other cybersecurity action. AI Output does not constitute professional advice, and Customer remains responsible for its use of the AI Technologies, its inputs and Customer Data, and its compliance with applicable laws, regulations, and the Acceptable Use Policy. 

5. DATA AND PRIVACY

Customer Data submitted to the AI Technologies shall be treated as Customer Data for the purposes of the Agreement. Customer acknowledges that the nature of the AI Technologies (including cybersecurity investigation and incident response functions) may result in the processing of personal data (such as data relating to compromised user accounts or IP addresses) within AI Output. Customer is responsible for ensuring that its deployment and use of the AI Technologies is consistent with its privacy notices, data processing agreements, and applicable data protection laws. Customer shall: (a) ensure that all personnel authorized to use the AI Technologies have received appropriate training, commensurate with their role, regarding the capabilities, limitations, and appropriate use of AI systems; and (b) maintain ultimate human decision-making authority over any actions taken in reliance on AI Output, in accordance with Section 4. Customer grants Sumo Logic and its subprocessors and third-party service providers a non-exclusive, worldwide, royalty-free license to access, use, process, copy, transmit, store, and display all inputs submitted to the AI Technologies in order to provide, maintain, secure, and support the AI Technologies, generate AI Output for Customer and otherwise perform Sumo Logic’s obligations under the Agreement. Sumo Logic agrees not to use Customer Data to train or improve any Third Party Model except as expressly authorized by Customer or the Agreement.

6. LIMITATION OF LIABILITY

The limitation of liability set forth in the Agreement shall apply to all claims arising out of or relating to these AI Terms, including claims relating to the AI Technologies, the MCP Server, AI Output, and any Third Party Model. Without limiting the foregoing, in no event shall Sumo Logic be liable for any losses, damages, or claims arising from: (a) Customer’s reliance on AI Output without appropriate human review and validation as required by Section 4; (b) Customer’s failure to implement reasonable oversight of automated actions initiated or recommended by the AI Technologies; (c) any inaccuracy, incompleteness, or unsuitability of AI Output; (d) the operation, failure, or discontinuation of any Third Party Model; or (e) Customer’s breach of the Acceptable Use Policy or Customer’s failure to comply with its obligations under Section 5, to the extent that such breach or failure caused or contributed to the relevant loss, damage, or claim; provided that, in each case, the foregoing exclusions shall not apply to the extent directly caused by Sumo Logic’s willful misconduct or material breach of these AI Terms. THE PARTIES ACKNOWLEDGE THAT THE AI TECHNOLOGIES INVOLVE INHERENT UNCERTAINTIES AND THAT THE LIABILITY LIMITATIONS IN THESE AI TERMS AND THE AGREEMENT REFLECT THE ALLOCATION OF RISK AGREED BETWEEN THE PARTIES, INCLUDING THE RISK OF INACCURATE, INCOMPLETE, OR HARMFUL AI OUTPUT. 

7. INDEMNIFICATION

The indemnification obligations set forth in the Agreement shall apply to the AI Technologies as SaaS Services. For the avoidance of doubt, Sumo Logic’s IP indemnity under the Agreement extends to the AI Technologies (but not to any Third Party Model to the extent such Third Party Model is separately licensed to Customer). Sumo Logic shall have no indemnification obligation with respect to any claim arising from or relating to: (a) the substance, content, or recommendations contained in AI Output (as distinct from any claim that the AI Technologies themselves, or the underlying Sumo Logic Technology, infringe third-party intellectual property rights, which remains subject to the Agreement); or (b) Customer’s combination of AI Output with other data, products, or services not provided by Sumo Logic. 

8. MCP SERVER

The MCP Server is a SaaS Service that provides the orchestration and governance layer for the AI Technologies. The MCP Server enables integration of the AI Technologies with Customer’s AI ecosystem, including proprietary models and third-party AI systems. The MCP Server facilitates the connection between the AI Technologies and Customer’s broader AI ecosystem, but is not itself an artificial intelligence or machine learning system. The MCP Server is architecturally distinct from the AI Technologies and may be specified as a separate line item in the applicable Order Form. Customer acknowledges that the MCP Server’s governance and security functions (including identity and access management (IAM) and role-based access control (RBAC) enforcement) are dependent on Customer’s proper configuration. Sumo Logic shall not be liable for any unauthorized access, data exposure, or security incident resulting from Customer’s misconfiguration of the MCP Server. 

9. GENERAL

Except as expressly modified by these AI Terms, the Agreement remains in full force and effect. These AI Terms shall be governed by the same governing law and venue provisions set forth in the Agreement. Each party shall cooperate in good faith with the other to the extent reasonably necessary to comply with applicable laws and regulations governing the development, deployment, or use of artificial intelligence (including, to the extent applicable, the EU Artificial Intelligence Act or any substantially similar legislation), provided that neither party shall be required to incur material unreimbursed costs in connection with such cooperation. If any applicable law requires disclosure to end users or affected individuals regarding the use of AI systems, Customer shall be responsible for making such disclosures in connection with its use of the AI Technologies.
